00 The Actual COGS Discrepancy — Sep 2025
This corrects and replaces the vaguer "financial discrepancy" language used in earlier drafts. This is a serious finding and should stay internal-only — it directly raises the question of whether financials presented to a buyer were manipulated, and Alex's own words show he suspected exactly that at the time.

Unresolved: no message in this record confirms whether the COGS change was a genuine CapForge processing error or a deliberate adjustment. Alex directly raised the possibility of the latter to Dani's face and referenced prior requests from Dani to "make the numbers look good." Dani denies it and blames CapForge. This should be treated as an open, sensitive question — worth flagging to Dave Rosati given the exposure if financials were knowingly altered before being sent to a prospective buyer, regardless of how the current sale process resolves.

01 The $60,000 Total-Spend Statement

These are two different $7,500 figures six months apart. Do not merge them in the Statement of Account.

The next day's Fathom-recorded call resolved this as: $9,500 original invoice → Dani pays $4,500 (Apr/May) → Alex covers March → $500 historical cleanup deferred to closing → Alex states "~$14,000 in costs to date." The chat ("10k" / "almost 15k") and the Fathom recap ("$9,500" / "~$14k") are consistent, not two different disputes.

05 Recurring QuickBooks Billing Thread (Ongoing, Jul 2026)
